Compliance, Integrity and Corporate Ethics
The world of business increasingly requires companies to have stricter and more detailed robust control systems to manage and mitigate the legal, regulatory, operational, conduct and reputational risks related to their business and the environment they operate in.
Establishing and operating a compliance and integrity program is now a mandatory requirement for many activities, stretching from government contracts to access to regulated markets and sectors, both in this country and abroad. The focus of such programs is to establish a culture of corporate ethics in both business and in their relationship with stakeholders.
We have the expertise to provide systemic and multidisciplinary support for designing, developing, executing and monitoring these mechanisms for any type of company or organization. We cover several subjects, such as:
- Establishing or restructuring corporate governance systems;
- Identifying, assessing and managing corporate risks, based on established frameworks and practices (CGU, UN, OECD, COSO, ISO);
- Drafting and implementing policies, standards and codes of conduct;
- Researching, creating and reviewing internal business mechanisms and controls;
- Training and engaging with those in the company and stakeholders;
- Providing advice on creating communications and reporting channels, including whistleblower protection measures;
- Designing and implementing control mechanisms for contracts, acquisitions, mergers and for contractors (due diligence on anti-trust, environmental and integrity liabilities – CGU);
- Guidelines for internal investigations, agreements etc.;
- Training and responsibilities for directors/partners who participate in shareholder meetings or board meetings.
The different formats in which we operate consist of:
Corporate Policies: designing corporate policies to prevent, monitor and mitigate any illegal or inappropriate behavior that could harm the company and its activities in general.
Corporate Governance: a collection of leadership, strategy, responsibility, transparency and control mechanisms designed to assess and monitor the corporate governance systems.
Anti-Corruption Compliance: designing, tailoring and implementing integrity and anti-corruption compliance programs, either for the company or in relation to public procurement requirements or its interaction with government officials, as well as conducting related due diligence processes.
Anti-Trust Compliance: designing, tailoring and implementing integrity and anti-trust compliance programs to ensure the legality of the company’s commercial practices, avoid any risks related to administrative or criminal investigations, as well as any remedial measures for practices such as: (i) forming a cartel, (ii) abuse of an economic position, (iii) horizontal restrictions, etc.
Governance and Crisis Management: containing, evaluating and managing the impact of a crisis, in relation to the company’s reputation and mitigating any losses to ensure business continuity and developing a solution to suit the client’s needs.
